New York, NY (Top40 Charts) LiveXLive Media, Inc. (OTC: LIVX) ("LiveXLive"), one of the only premium networks devoted to live music and music-related video content, announced today the pricing of an underwritten public offering of shares of its common stock. In the offering, LiveXLive is selling 5,000,000 shares of its common stock at a public offering price of $4.00 per share, before underwriting discounts. The offering is expected to close on December 27, 2017, subject to customary closing conditions. In addition, to the extent that the underwriter sells more than 5,000,000 shares of common stock, LiveXLive has granted the underwriter a 30-day option to purchase up to an additional 750,000 shares of its common stock at the public offering price less underwriting discounts and commissions.
LiveXLive intends to use the net proceeds of the offering to fund working capital, capital expenditures, the acquisition of Slacker, Inc., and other general corporate purposes, which may include future acquisitions of businesses and content.
JMP Securities LLC is acting as the sole book-running manager for the offering.
