LOS ANGELES, CA. (Univision) - Univision flagship station Univision 34 KMEX-TV will be producing and broadcasting a program commemorating "El Grito" - Mexico's declaration of independence from Spain.

This year's program, "El Grito 2005," will comprise a one-hour televised special featuring live entertainment, including Univision Music recording artists Mariana Seoane, Jimena and Los Elegidos (the "Entertainment"), and a re-enactment of Mexico's battle cry for independence (the "Ceremony"). The event will be held on the steps of Los Angeles City Hall on Thursday, September 15, 2005 and will be broadcast on a tape-delayed basis from 10:00 p.m. to 11:00 p.m., Pacific Daylight Savings Time over the Univision Networks.

All broadcasters and media sources will have full access to the Ceremony portion of the event, which will take place at approximately 8:30 p.m. to 9:00 p.m.

Univision is the exclusive producer and author of the Entertainment and as such is the owner of all right, title and interest therein, including without limitation, all copyrights and all rights to fix any live performances contained in the Entertainment. Broadcasters will be permitted to record excerpts of the Entertainment, provided that all broadcasters comply with the following:
1. Excerpts may be used only in "regularly-scheduled bona-fide, hard news programs of which the actual news elements constitute the main feature" (this excludes programming such as news magazines, news features, sports features and other sports programs and "special" programs);
2. Excerpts shall be limited to video only - no audio may be used (including voices of on-air talent), and cannot include material from Univision's news, commentary and documentary programs;
3. Excerpts cannot exceed ninety (:90) seconds in total in any one newscast;
4. Only excerpts of the Entertainment that have been broadcast by Univision may be used. Excerpts may be used only after Univision has completed its entire original broadcast, including post-event programming. In addition, all excerpt footage must be taped directly from Univision's broadcast thereof and not from any other source (e.g., satellite, fiber optic or other forms of transmission);
5. Under no circumstances may excerpts of the Entertainment be used or retained beyond forty-eight hours after the conclusion of Univision's original broadcast of the Entertainment, and all footage containing such excerpts in any and all media must be erased or destroyed thereafter (i.e., copies for library or any other purpose are strictly prohibited);
6. Each excerpt must be accompanied by appropriate video courtesy credit (i.e., "Courtesy of Univision" or "Cortesia de Univision"). Such video courtesy credit shall remain on-screen for at least five (5) seconds and appear in the corner opposite to Univision's transparent on-screen logo, which logo may not be removed; and
7. Under no circumstances may excerpts be used on the Internet or other online service or interactive multimedia distribution transmission.

Any interference with Univision's taping or broadcast of the Entertainment, or any other recording, broadcasting, retransmission or other use or exploitation of the Entertainment, without the express written consent of Univision may subject you to liability for copyright infringement, trademark infringement, violation of 17 U.S.C. section 1101, and violation of rights of publicity and other rights under state law.
